These Terms of Use ("Terms") govern your access to and use of the services provided by FrontlineIQ Inc. ("FrontlineIQ", "we", "our", or "us"). These Terms apply to all users of our Services, including Business Customers, their authorized users (managers, executives), Sales Professionals accessing the platform through their employer, and Demo Users accessing our platform through our public demo experience. By accessing or using our Services in any capacity, you agree to be bound by these Terms. If you do not agree, you may not use our Services. By using our Services, you also agree to our Privacy Policy, which explains how we collect, use, and protect your information.
Note for Business Customers: If you have a separate Master Service Agreement (MSA) or other written agreement with FrontlineIQ, that agreement governs your use of the Services and takes precedence over these Terms to the extent of any conflict.
"Services" refers to FrontlineIQ's performance enablement platform, including the Manager Dashboard, Mobile Sales App (PWA), Theo AI Coach, executive dashboards, APIs, data integrations, demo experiences, and related digital offerings.
"Business Customers" are organizations and their authorized users (managers, executives) who subscribe to FrontlineIQ's platform to coach their sales teams and track performance.
"Sales Professionals" (also referred to as "End Users") are individuals who access the Mobile Sales App through their employer (a Business Customer) to track their performance, goals, and coaching.
"Demo Users" are individuals who access our public demo experience (e.g., via frontlineiq.ai/skilltest) to evaluate our AI coaching capabilities. Demo Users are not affiliated with a paying Business Customer.
"Visitors" are individuals who access our websites or marketing materials without creating an account or using the platform.
"Customer Data" means all data, including Personal Information of End Users, that Business Customers upload, submit, or otherwise provide to FrontlineIQ through the Services.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree not to attempt to access, tamper with, or use non-public areas of the platform or its infrastructure. We reserve the right to suspend or terminate your access to our Services for any violation of these Terms or applicable laws.
You must be at least 18 years old to use our Services. By using the Services, you represent and warrant that you meet this requirement.
You also agree to comply with the terms of any third-party platforms (e.g., authentication providers, payment processors) integrated into or accessed through the Services.
FrontlineIQ operates as a technology provider offering workforce performance enablement tools to Business Customers. We provide the platform infrastructure, features, and support, but Business Customers retain control over how the Services are used within their organization.

You are responsible for all activity that occurs under your organization's account, including actions taken by your authorized users.
You are responsible for ensuring the accuracy and completeness of all data you provide to FrontlineIQ, including employee information, performance metrics, and organizational configurations.
You must maintain appropriate security measures for account credentials and promptly notify us of any unauthorized access.
Authorization to Process Employee Data: You authorize FrontlineIQ to process Personal Information of your employees ("End Users") solely for the purpose of providing the Services as described herein. FrontlineIQ will process Employee Personal Information only as instructed by you and in accordance with this Agreement and applicable privacy laws.
Customer Responsibilities for Consent: You represent and warrant that you have obtained all necessary consents, authorizations, and permissions from End Users required to provide their Personal Information to FrontlineIQ. You are responsible for ensuring End Users are informed of FrontlineIQ's data processing activities through your own privacy notices and employment policies.
Data Processor Relationship: FrontlineIQ acts as a data processor (or service provider) on behalf of Business Customers with respect to Employee Personal Information. You, as the Business Customer, are the data controller and retain all decision-making authority regarding Employee Personal Information.
Employee Rights Handling: FrontlineIQ will promptly notify you of any data access, correction, or deletion requests received directly from End Users, and you will be responsible for responding to such requests.
Data Accuracy: You represent and warrant that all Employee Personal Information provided to FrontlineIQ is accurate, complete, and up-to-date. You are responsible for maintaining the accuracy of Employee Personal Information in your authoritative systems (HR systems, identity providers), which FrontlineIQ syncs via SCIM or other integration methods. FrontlineIQ is not responsible for the accuracy of data provided by you and does not independently verify Employee Personal Information.
Access to the Services requires a paid subscription as outlined in your service agreement or order form. Subscription fees, payment terms, and renewal conditions are specified in your commercial agreement with FrontlineIQ.
Failure to pay applicable fees may result in suspension or termination of Services.
You grant FrontlineIQ a non-exclusive license to use your company name, logo, and other brand assets solely to provide the Services and, with your permission, for marketing purposes (e.g., customer testimonials, case studies).
You must not use FrontlineIQ for any unlawful purpose or in violation of applicable laws.
You agree to indemnify and hold harmless FrontlineIQ for any claims arising from your use of the Services, including claims related to employment practices, data accuracy, or failure to obtain required consents from End Users.
You are responsible for ensuring that your use of the Services complies with all applicable employment laws, privacy regulations, and industry standards.
To access certain features, you may be required to create an account or be provisioned an account by your employer. You agree to provide accurate, current, and complete information and to keep it updated.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized use.

Data Ownership: Business Customers own all Customer Data, including performance data, goals, behaviors, user-created content, and configurations created through their use of the Services. FrontlineIQ acts as a data processor with a license to process Customer Data solely for service delivery.
Data Export: Business Customers may request export of their data at any time. Export formats include JSON and CSV. There are no fees for standard data exports. See our Privacy Policy for details on the export process.
Data Retention and Deletion: Upon termination of a Business Customer's subscription, Customer Data will be handled in accordance with our Privacy Policy and any applicable data processing agreement.
All content, features, and technology provided by FrontlineIQ—including software, designs, algorithms, documentation, and trademarks—are protected by intellectual property laws and remain the exclusive property of FrontlineIQ.
You may not copy, modify, reverse-engineer, decompile, or create derivative works based on our platform without express written permission.
Your use of the Services does not grant you any ownership rights in FrontlineIQ's intellectual property.

The Services may integrate with or contain links to third-party services (e.g., authentication providers, data sources, analytics tools). These integrations are provided for convenience and are subject to the terms and privacy policies of those third parties.
FrontlineIQ is not responsible for the availability, accuracy, or practices of third-party services. Your use of third-party integrations is at your own risk.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
FrontlineIQ does not guarantee any specific business outcomes, performance improvements, or return on investment from use of the Services.
For Demo Users: The demo experience and any AI coaching feedback provided is for evaluation purposes only and should not be relied upon for employment decisions, performance assessments, or professional advice.
TO THE FULLEST EXTENT PERMITTED BY LAW, FRONTLINEIQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO:
For Business Customers: FrontlineIQ's total liability for any claim shall not exceed the greater of (a) $100 USD or (b) the total fees paid by you to FrontlineIQ in the twelve (12) months preceding the claim.
For Sales Professionals and Demo Users: FrontlineIQ's total liability for any claim shall not exceed $100 USD.
This limitation of liability applies even if FrontlineIQ has been advised of the possibility of such damages. Some jurisdictions do not allow limitations of liability for certain types of damages; these exclusions may not apply to you.
You agree to indemnify, defend, and hold harmless FrontlineIQ, its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Informal Resolution: Before initiating any formal dispute resolution, you agree to contact us at legal@frontlineiq.ai to attempt to resolve the dispute informally. We will attempt to resolve disputes within 30 days.
Arbitration: Any disputes that cannot be resolved informally shall be resolved through binding arbitration in Toronto, Ontario, Canada, under the rules of the ADR Institute of Canada. You waive any right to a jury trial or class action.
Exceptions: Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm.
You may opt out of arbitration within 30 days of accepting these Terms by sending an email to legal@frontlineiq.ai.
This Section shall survive termination of your relationship with FrontlineIQ.
By Business Customers: You may terminate your subscription in accordance with the terms of your service agreement.
By Sales Professionals: Your access is controlled by your employer. Contact your employer to request account deactivation.
By Demo Users: You may stop using the demo at any time. To request deletion of your demo data, email privacy@frontlineiq.ai.
By FrontlineIQ: We may suspend or terminate access to the Services immediately if:
Effect of Termination: Upon termination, your right to access the Services will cease. Business Customers may request data export prior to termination. Data retention after termination is governed by our Privacy Policy.
Sections that by their nature should survive termination will survive, including Sections 8, 9, 12, 13, 14, 15, and 17.
Force Majeure: FrontlineIQ shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, internet or utility outages, labor disputes, governmental acts, pandemics, or third-party service failures.
Assignment: You may not assign or transfer your rights or obligations under these Terms without FrontlineIQ's prior written consent. FrontlineIQ may freely assign these Terms in the event of a merger, acquisition, reorganization, or sale of assets.
Entire Agreement: These Terms, together with the Privacy Policy and any applicable service agreements (including MSAs), constitute the entire agreement between you and FrontlineIQ concerning the use of the Services, and supersede all prior or contemporaneous communications. In the event of conflict, a signed MSA or service agreement takes precedence over these Terms.
Severability: If any provision of these Terms is held to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
Waiver: FrontlineIQ's failure to enforce any provision of these Terms shall not constitute a waiver of its right to enforce such provision at a later time.
Notices: Notices to FrontlineIQ should be sent to legal@frontlineiq.ai. We may send notices to you via email or through the Services.
We may update these Terms from time to time. We will notify users of material changes via our website, email (if provided), or prominent notice within the platform at least 30 days before changes take effect.
Continued use of the Services after changes indicates acceptance. If you do not agree to the revised Terms, you must stop using the Services.
